# API Platform Terms of Service

> Terms of service for the Critique AI API Platform

These Terms of Service ("Terms") govern your access to and use of our API Platform services ("Services"). By using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

## Account Terms

You must register for an account to access our Services. By registering, you agree that:

1. You will provide accurate, current, and complete account information
2. You will maintain the security of your API keys and credentials
3. You are responsible for all activities that occur under your account
4. You will promptly notify us of any unauthorized use of your account
5. We reserve the right to suspend or terminate accounts at our discretion

## Acceptable Use

### Prohibited Activities

You may not use our Services to:

1. Violate any applicable laws or regulations
2. Engage in malicious or harmful activities
3. Attempt to gain unauthorized access to our systems
4. Interfere with other users' access to the Services
5. Generate or distribute malware, spam, or harmful content
6. Reverse engineer or decompile our Services
7. Exceed rate limits or circumvent usage restrictions

### Service Protection

We maintain sole discretion to:

1. Determine what constitutes malicious behavior
2. Deny service to any user or entity
3. Remove or disable access to any content or integration
4. Suspend or terminate accounts without prior notice
5. Report violations to law enforcement authorities

## API Usage

### Service Limitations

1. API calls are subject to rate limits and usage quotas
2. We may modify or impose new limitations at any time
3. Services are provided "as is" without warranties
4. We do not guarantee uninterrupted or error-free service
5. We may modify or discontinue features without notice

### Performance Standards

1. We strive to maintain 99.9% uptime
2. Scheduled maintenance will be announced in advance
3. Emergency maintenance may occur without notice
4. Service credits may be issued for extended downtime

## Intellectual Property

### Ownership Rights

1. We retain all rights to our Services and technology
2. You retain rights to your content and implementations
3. Our trademarks may not be used without permission
4. You grant us license to process your API requests

### Licenses

1. We grant you a limited, revocable license to use our Services
2. You may not sublicense or transfer your rights
3. Open source components are subject to their respective licenses
4. API documentation may be used for implementation only

## Payment Terms

### Billing

1. You agree to pay all applicable fees
2. Fees are non-refundable unless required by law
3. We may change pricing with 30 days notice
4. Accounts with unpaid balances may be suspended
5. You are responsible for applicable taxes

### Refunds and Payouts

1. Refunds and payouts are issued at our discretion
2. Disputed charges must be reported within 60 days
3. Account termination does not relieve payment obligations

## Termination

### Account Termination

2. We may terminate accounts for Terms violations
3. Termination results in immediate access revocation
4. You remain liable for pre-termination charges
5. Certain Terms survive account termination

### Service Discontinuation

1. We may discontinue Services with 90 days notice
2. We will provide reasonable migration assistance
3. You are responsible for extracting your data
4. Unused prepaid fees will be refunded

## Liability and Indemnification

### Limitation of Liability

1. We are not liable for indirect or consequential damages
2. Our liability is limited to fees paid in prior 12 months
3. We do not warrant third-party services or content
4. Force majeure events excuse performance

### Indemnification

You agree to indemnify and hold us harmless from claims arising from:

1. Your use of the Services
2. Your content and implementations
3. Your violation of these Terms
4. Your violation of third-party rights

## Changes to Terms

1. We may modify these Terms at any time
2. Continued use constitutes acceptance of changes
3. Previous versions will be archived and available

## Governing Law

1. These Terms are governed by the laws of the United States
2. Disputes will be resolved in the courts of the United States
3. You waive class action rights
4. Invalid terms shall be replaced with valid equivalent
